Terms of Service

By accessing or using the Services, you represent that you have the authority to bind the entity you represent to these Terms. If you do not agree to these Terms, do not use the Services. Use of the production Services may also be governed by a separate written customer agreement; in case of conflict, that agreement controls.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

• Use the Services in a way that violates any applicable law or regulation.
• Attempt to gain unauthorized access to any part of the Services or their related systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Reverse engineer or attempt to extract the source code of the Services, except as permitted by law.
• Use the Services to develop a competing product.

Certain features of the Services require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use.

The Services, including all software, models, documentation, and related materials, and all intellectual property rights therein, are and remain the exclusive property of MOAI Labs and its licensors. No rights are granted to you other than the limited right to use the Services as expressly set out in these Terms or an applicable customer agreement.

You retain all rights in the data, code, prompts, and other content you submit to the Services ("Customer Content"). You grant MOAI Labs a limited license to process Customer Content solely to operate, maintain, secure, and improve the Services and to comply with law.

Fees for paid Services are described in an order form or other written agreement between you and MOAI Labs. Unless otherwise stated, fees are non-refundable and exclusive of taxes.

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, MOAI Labs disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. MOAI Labs does not warrant that the Services will be uninterrupted, error-free, or completely secure, or that the Services will detect or prevent every security issue.

To the maximum extent permitted by law, in no event will MOAI Labs or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. MOAI Labs' total aggregate liability arising out of or related to these Terms or the Services will not exceed the greater of (a) the amounts you paid to MOAI Labs for the Services in the twelve months preceding the event giving rise to the liability, or (b) one hundred U.S. dollars (US$100).

You agree to defend, indemnify, and hold harmless MOAI Labs and its affiliates from and against any claims, damages, liabilities, and expenses arising out of your use of the Services in violation of these Terms or any applicable law.

We may suspend or terminate your access to the Services at any time if you breach these Terms or if we reasonably determine that continued access poses a security, legal, or operational risk. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and governing law.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. The exclusive venue for any dispute will be the state and federal courts located in Delaware, and the parties consent to personal jurisdiction there.

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date above and, where appropriate, by additional notice. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
